Terms of Service
Effective 5 August 2026
The agreement between you and Prospexly. In short: your data is yours, you can leave with it whenever you like, you send email from your own mailbox and are responsible for what you send, and AI output is grounded in real sources but still needs checking before you act on it.
1. Who this agreement is between
These terms are an agreement between you — the person or organisation using the service — and LKM Software Ltd, referred to here as “we”, “us” and “Prospexly”. They apply whenever you create an account, sign in, or use any part of the service, including the free plan.
LKM Software Ltd is a company registered in England and Wales, company number 15805131. Registered office: 13 Finchfield Road West, Wolverhampton, West Midlands, WV3 8AY, United Kingdom.
If you are agreeing to these terms on behalf of a company, you confirm you have the authority to bind that company, and “you” means that company.
2. What the service does
Prospexly is three things in one account:
- Lead discovery. You describe the kind of business you sell to, and an AI model searches the live web and returns companies and named contacts, each carrying the source pages the facts came from.
- A CRM. Companies, contacts, opportunities, tasks, calendar, products and support cases. The CRM is free on every plan and stays available to you whether or not you pay for anything else.
- Outbound email. Multi-step sequences sent through a mailbox you connect and control, with open, click and reply tracking.
We may change how features work, add them, or withdraw them. Where a change materially reduces what a paid plan provides, we will give you notice before it takes effect and you may cancel without penalty.
3. Your account
You need a confirmed email address to use the service. You are responsible for what happens under your account, for keeping your credentials to yourself, and for telling us promptly at security@prospexly.com if you believe it has been accessed by someone else.
Team plans allow additional seats. Each person using the service needs their own seat and their own login; sharing one login between people is not permitted, because the audit trail then attributes one person’s actions to another.
You must be at least 18 and using the service for business purposes.
4. Plans, billing and cancellation
Paid plans are billed monthly in advance through Stripe. Prices are shown on the pricing page in US dollars and exclude any sales tax or VAT, which is added at checkout where it applies. Card details are entered directly with Stripe and never reach our servers.
The Starter plan includes a 7-day free trial and the Professional plan a 7-day free trial. You will not be charged until the trial ends, and you can cancel during it at no cost.
You can cancel at any time from your subscription settings. Cancellation takes effect at the end of the period you have already paid for — you keep access until then, and we do not refund the remainder of a month. If you cancel a paid plan your account moves to the Free plan rather than closing, so your CRM data stays reachable.
If a payment fails we will retry it and tell you in the app. If it keeps failing we may downgrade the account to the Free plan. We will not delete your data for non-payment.
We may change prices. An existing subscription keeps its price for at least 30 days after we notify you, and you may cancel before the new price applies.
5. Usage allowances and credits
Each plan carries monthly allowances for AI lead discovery, AI email generation and enrichment, plus limits on stored records, connected mailboxes and seats. The current numbers are on the pricing page and in your account.
One AI lead is one company or one contact. A search returning 10 companies with 1 contact each uses 20 leads. An allowance is only consumed when the work succeeds. A search that fails, or that returns results we discard because they were not properly grounded in a source, does not count against you.
Allowances reset monthly and do not roll over. Bonus credits — from referrals or granted by us — do not expire, and are consumed only after the month’s allowance is used up. Credits have no cash value and cannot be transferred or refunded.
Email verification is unlimited on every plan, including Free. If your use of any unmetered feature is so far outside normal use that it degrades the service for others, we may rate limit it, and we will tell you when we do.
6. Your data, and who owns it
Your content stays yours. That includes everything you create or import — companies, contacts, opportunities, notes, email copy — and the results of AI searches run from your account. We claim no ownership over any of it.
You grant us the permission we need to run the service: to store your content, process it, transmit it, back it up, and send it to the sub-processors listed in our Privacy Policy so they can perform their part. That permission exists to operate the service for you and for nothing else.
We do not train AI models on your content, and we do not sell it, share it with other customers, or use it to build a data product.
You can export your data at any time as CSV from any list, or as a complete JSON and CSV bundle from your settings. See the Data Processing Addendum for how we handle personal data you upload about other people, which is the part with real obligations attached.
7. Sending email
Prospexly sends through a mailbox you connect and control. It is your mail server, your domain and your sender reputation. That means you are the sender in law as well as in practice, and you are responsible for the legality of what you send.
You confirm that, for every message you send through the service:
- You have a lawful basis to contact the recipient, and where consent is required in their jurisdiction, you have it.
- The message identifies you truthfully. Forged headers, misleading subject lines and impersonated senders are grounds for immediate suspension.
- You honour opt-outs. The service adds one-click unsubscribe headers and checks a suppression list before every send, and you must not work around either.
We enforce warmup ramps and randomised pacing on new mailboxes. These protect your domain and the wider service, and cannot be disabled.

8. AI output, and its limits
Discovery, enrichment and email drafting use a large language model grounded in live web search. Every response has to come back with source URLs; one that does not is discarded rather than saved. That design removes the most common failure — invented companies and invented people — but it does not make the output guaranteed.
Grounded facts can still be stale, a source page can be wrong, and a plausible summary can misread one. Verify anything you are going to act on. We do not warrant that AI output is accurate, current, or fit for a particular decision, and we are not liable for a decision you take on the strength of it.
Email verification is subject to the same honesty. A DNS-level check establishes that a domain can receive mail; it does not prove a specific mailbox exists. The result always says which kind of check produced it, and you should read that before treating a score as certainty.
9. Availability and support
We aim for continuous availability but do not offer an uptime guarantee on the Free, Starter or Professional plans. Maintenance, third-party outages and problems at the providers we depend on will occasionally interrupt service.
Support is by email at support@prospexly.com. Response times differ by plan, as described on the pricing page. Enterprise agreements may include a separate service level commitment; where one exists, it takes precedence over this section.
10. Suspension and termination
You may close your account at any time from your settings. On closure we soft-delete your data and keep it recoverable for 30 days, so that an account closed by mistake is not an irreversible loss. After that window it is permanently removed, except where we are required to keep records — billing records, principally — for longer.
We may suspend or close an account that breaches these terms or the Acceptable Use Policy. Where the breach is serious — sending to purchased lists, ignoring unsubscribes, impersonation, or anything that puts other customers at risk — we may act immediately and without notice. Otherwise we will tell you what is wrong and give you a reasonable chance to fix it.
If we close your account for a reason other than your breach, we will refund the unused part of the current period.
11. Warranties and liability
The service is provided as it is. To the fullest extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We are not liable for lost profits, lost revenue, lost opportunities, loss of goodwill, or damage to a domain’s sending reputation, however caused. Our total liability arising out of or related to these terms is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or 100 US dollars if you are on the Free plan.
Nothing here limits liability that cannot lawfully be limited — including for death or personal injury caused by negligence, or for fraud.
You will indemnify us against claims brought by third parties arising from email you sent through the service, or from data you uploaded that you had no right to hold.
12. Changes to these terms
We may update these terms. The effective date at the top of this page always reflects the current version. For a material change we will give notice in the application before it takes effect. Continuing to use the service after that date means you accept the new version; if you do not, cancel before it applies.
13. Governing law and disputes
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
Before starting proceedings, please write to legal@prospexly.com. Nearly everything is resolved faster that way than by either of us paying a lawyer to write the first letter.
If any provision of these terms is found unenforceable, the rest continues to apply.
